Is # circuits in subpanel limited to the size of feed wire?

I am going to install a subpanel using #8 wire as the feed (on a 40 amp 2 pole breaker) from the main panel box. Is there any restriction limiting me to the size of the subpanel? Can I choose between an 8/16 circuit subpanel and a 12/24 circuit subpanel? I would prefer to use a 12/24 subpanel because I intend to run a number of dedicated receptacles. Thanks.
